These Terms of Service ("Terms") govern your access to and use of the websites, content, directories, newsletters, forms, listings, features, and related services made available by Bright Room LLC, doing business as North Fork Bright ("North Fork Bright," "we," "us," or "our"), including northforkbright.com and any other website of ours that links to these Terms (collectively, the "Services").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Who the Services Are For

North Fork Bright is an informational and editorial website and newsletter intended primarily for parents, guardians, caregivers, adult family members, and program providers seeking information about children's educational programs, camps, activities, events, family resources, travel, and related lifestyle topics.

The Services are not directed to children under 13. By using any interactive feature of the Services, including submitting a program, sending a message, signing up for emails, or otherwise providing information to us, you represent that you are at least 18 years old and have the legal authority to do so.

2. Nature of the Services

North Fork Bright is an informational and editorial platform. The Services may include, without limitation:

North Fork Bright does not own, operate, manage, control, employ, supervise, endorse, monitor, or guarantee any third-party provider, camp, class, school, organization, destination, venue, event, service, or product referenced on the Services.

A listing, article, mention, feature, sponsorship, advertisement, affiliate link, editorial inclusion, or promotional placement on the Services does not mean that we recommend, certify, approve, or guarantee the third party.

You understand and agree that:

• third-party information may change at any time
• pricing, schedules, availability, policies, and offerings may change without notice
• we do not guarantee accuracy, completeness, currentness, legality, safety, quality, suitability, or outcomes
• any decision to contact, book with, visit, purchase from, enroll with, or otherwise rely on a third party is entirely at your own risk

7.1 No Obligation to Publish

Submitting material does not guarantee publication, placement, response, inclusion, or continued availability on the Services.

7.2 Our Editorial Rights

We may, in our sole discretion and without notice:

• review submissions
• verify or attempt to verify information
• edit, shorten, rewrite, reformat, categorize, or adapt submissions
• add headlines, summaries, labels, notes, or contextual information
• request clarification
• reject any submission
• remove or unpublish any listing or material at any time
• refuse publication for any reason or no stated reason

7.3 Your Representations and Warranties

By submitting any material, you represent and warrant that:

• you own the material or have all rights, permissions, and authority necessary to submit it and authorize our use of it
• the submission does not infringe, violate, misappropriate, or otherwise conflict with any intellectual property, privacy, publicity, contractual, or other rights of any person or entity
• the information you submit is, to the best of your knowledge, accurate and not misleading
• if your submission includes names, likenesses, photographs, or personal information of any person, you have obtained any permissions, consents, and releases required for our use
• your submission does not contain unlawful, defamatory, obscene, harassing, fraudulent, deceptive, or otherwise inappropriate material
• your submission does not contain viruses, malware, malicious code, or other harmful elements

7.4 License to Us

By submitting material to us, you grant North Fork Bright a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, perform, distribute, publish, adapt, edit, modify, create derivative works from, and otherwise use the submitted material in connection with the Services and our business operations, including editorial, directory, promotional, archival, operational, and marketing purposes.

This license includes the right to use submitted material in whole or in part, with or without attribution, and to combine it with other content, formatting, or editorial material.

7.5 No Confidentiality

Do not send us confidential or proprietary information unless you are prepared for us to review and use it in accordance with these Terms and our Privacy Notice. We do not undertake any duty of confidentiality with respect to unsolicited submissions, except as required by law.

8. Intellectual Property

The Services, including their overall design, layout, look and feel, branding, selection, coordination, arrangement, compilation, editorial content, original text, graphics, logos owned by us, software, and other materials made available by us, are owned by North Fork Bright, its licensors, or other content owners, and are protected by applicable intellectual property and other laws.

This protection includes, where applicable:

• our original writing and editorial content
• the selection and arrangement of listings and categories
• the structure and compilation of the directory and related materials
• the North Fork Bright name, branding, and site presentation

Third-party names, logos, trademarks, photographs, and other third-party materials remain the property of their respective owners.

Except as expressly permitted by us in writing, you may not:

• copy, reproduce, republish, upload, post, transmit, distribute, or publicly display our content
• create derivative works from our content
• commercially exploit our content
• use our content to build or populate another database, directory, listing service, or competing product
• use our content or the Services for AI training, machine learning training, model development, dataset creation, or similar automated downstream uses
• remove copyright, trademark, or other proprietary notices

Limited personal, non-commercial use is permitted only to the extent consistent with these Terms and applicable law.

9. Prohibited Conduct

You agree not to:

• violate any applicable law or regulation
• use the Services for fraudulent, deceptive, unlawful, abusive, or harmful purposes
• impersonate any person or entity
• misrepresent your affiliation with any person or entity
• submit false, inaccurate, or misleading information
• interfere with or disrupt the Services or servers
• attempt to gain unauthorized access to any part of the Services
• use bots, crawlers, scrapers, spiders, data-mining tools, harvesting tools, or similar automated means to access, monitor, copy, or extract data from the Services
• circumvent access restrictions, robots.txt rules, or technological protections
• frame, mirror, or deep-link to substantial portions of the Services without our consent
• upload malicious code or harmful material
• use the Services in any way that could damage, disable, overburden, or impair them
• use the Services or their content to compete with us or to create a substitute service

10. Newsletter and Communications

If you subscribe to our newsletter or otherwise provide your email address, you agree that we may send you communications related to the Services, including newsletters, updates, administrative messages, and promotional emails, subject to applicable law and our Privacy Notice.

You may unsubscribe from marketing emails using the unsubscribe link included in those emails. Even if you opt out of marketing messages, we may still send you non-marketing communications where permitted by law.

12. Accuracy; Availability; No Warranty

• dates
• times
• tuition or pricing
• availability
• openings
• waitlists
• locations
• credentials
• ages served
• safety practices
• legal compliance
• accessibility
• policies
• outcomes
• third-party quality or performance

The Services are provided "as is" and "as available," without warranties of any kind, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, quiet enjoyment, accuracy, or system integration.

Some jurisdictions do not allow certain warranty disclaimers, so some of the above may not apply to you to the extent prohibited by law.

13. Limitation of Liability

To the fullest extent permitted by law, North Fork Bright, Bright Room LLC, and our respective owners, managers, members, officers, employees, contractors, affiliates, licensors, service providers, and agents shall not be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages, or for any loss of profits, revenue, data, goodwill, business opportunity, use, or other intangible losses, arising out of or relating to the Services, these Terms, any content, any third-party listing or provider, or any interaction or transaction with a third party, even if advised of the possibility of such damages.

To the fullest extent permitted by law, our total aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the greater of:

• the amount, if any, you paid us directly for the specific Service giving rise to the claim in the twelve (12) months before the event giving rise to the claim, or
• fifty U.S. dollars (US $50).

Without limiting the foregoing, we are not liable for any injury, illness, damage, loss, dispute, disappointment, cancellation, error, omission, reliance, negligence of third parties, or other harm arising from or related to any third-party provider, camp, activity, destination, event, product, or service referenced on the Services.

Some jurisdictions do not allow certain limitations of liability, so some of the above may not apply to you to the extent prohibited by law.

14. Indemnification

You agree to defend, indemnify, and hold harmless North Fork Bright, Bright Room LLC, and our respective owners, managers, members, officers, employees, contractors, affiliates, licensors, service providers, and agents from and against any and all claims, demands, actions, proceedings, liabilities, damages, judgments, awards, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to:

• your use of the Services
• your violation of these Terms
• your violation of any law or the rights of any person or entity
• any material you submit
• any claim that your submission infringes or violates any intellectual property, privacy, publicity, contractual, or other right
• your dealings or disputes with any third party

15. Copyright Complaints

Please include enough detail for us to understand the claim, identify the material at issue, and contact you. We reserve the right to remove or disable access to content that we believe may infringe rights, and to request additional information before taking action.

16. Changes to the Services and These Terms

We may modify the Services and these Terms at any time, in our sole discretion. The updated version will be effective when posted, unless otherwise stated.

By continuing to use the Services after revised Terms are posted, you agree to the revised Terms. If you do not agree, stop using the Services.

17. Governing Law and Venue

These Terms and any dispute arising out of or relating to the Services or these Terms shall be governed by the laws of the State of New York, without regard to its conflict of laws principles.

You agree that any dispute, claim, or proceeding arising out of or relating to the Services or these Terms shall be brought exclusively in the state or federal courts having jurisdiction over Suffolk County, New York, and you consent to the personal jurisdiction of those courts.

18. Termination

We may terminate, suspend, restrict, or block your access to all or any part of the Services at any time, with or without notice, for any reason or no reason, including if we believe you have violated these Terms.

Sections that by their nature should survive termination will survive, including sections concerning intellectual property, disclaimers, limitation of liability, indemnification, governing law, venue, and other protective provisions.

19. Miscellaneous

These Terms constitute the entire agreement between you and North Fork Bright regarding the Services, except to the extent additional terms apply to a specific feature, offering, or relationship.

If any provision of these Terms is held invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Our failure to enforce any provision of these Terms is not a waiver of that provision or any other provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms and our rights and obligations under them without restriction.
